Sir Terence Matthews, Chairman of Wesley Clover Solutions, also serves as Chairman of Mitel and March Networks, two companies active in developing Internet Protocol (IP) systems for enterprise applications. Prior to joining Wesley Clover Solutions, he served as CEO and Chairman of Newbridge Networks Corporation, a company he founded in 1986. Providing leadership and vision for 14 years, Terry helped Newbridge become a leader in the worldwide data network industry. When France-based Alcatel acquired Newbridge in May 2000, the company employed more than 6,500 and recorded FY 1999 revenue of $1.8 billion. In 1972, before launching Newbridge, Terry co-founded Mitel Corporation. Under his leadership Mitel grew quickly to become a world leader in the design and manufacture of enterprise voice systems and products. In 1985, British Telecom bought controlling interest in Mitel. In 2001, Terry purchased the worldwide Communications Systems division of Mitel, and the Mitel name, and is now owner and non-executive Chairman of Mitel Corporation, a company focused on providing next generation IP telephony solutions for broadband networks. Terry also serves on the board of directors for a number of Wesley Clover high technology companies including Bridgewater Systems and Solace Systems. |

is also President and Chief Executive Officer of Encore Networks. From January
1992 to June of 2002 Mr. Madsen was President, Chief Executive Officer and
a director of FastComm Communications Corporation. From November 1986 to January
1992, he was an officer of Newbridge Networks Corporation, a Canadian telecommunications
company, most recently as Vice President and General Manager, United States
Region, and President of Newbridge Networks Inc., Newbridge Networks Corporation’s
United States subsidiary. Mr. Madsen served as a director of Newbridge Networks
Corporation from September 1987 until June 1998. |

Corporation and a director of FastComm since March 1998. From August 1992 to
August 1993, Mr. Rafferty was Vice president, Finance at Newbridge Networks
Inc. From August 1987 through August 1992, Mr. Rafferty was Controller of Newbridge

Vice President of Business Development of VSource. From 1983 until 2004, Mr.
Pigliacelli held various management positions at IPC Information Systems including
New York Region Vice President. Mr. Pigliacelli’s 25 years of experience within
the financial sector includes project management, customer service, operations,
local union affiliations, developing system solutions, providing and overseeing
global implementation, vendor management and understanding the goals and strategy
of vendors. |

| Chris Corridon, Vice President Business Development was most recently a Principal
at VSource. Prior to that Mr. Corridon held various telecommunications management
positions at IPC, IXnet and Global Crossing. Mr. Corridon’s 15 years in telecommunications
for the Financial Sector includes both domestic and international experience
in developing, implementing and supporting voice trading technology for institutional
financial trading floors. |
